These Terms of Service ("Terms") govern your use of Countist, a product operated by FYLUM Agency LLC d/b/a Structurl ("Structurl," "we," "us," or "our").

By accessing or using Countist at app.countist.app, you agree to be bound by these Terms. If you do not agree, do not use our service.

1. ELIGIBILITY

You must be at least 13 years old to use Countist. By using Countist, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

2. YOUR ACCOUNT

You are responsible for:

- Maintaining the confidentiality of your account credentials

- All activities that occur under your account

- Providing accurate and complete information

If you believe your account has been compromised, contact us immediately at countist@structurl.io.

3. SUBSCRIPTION AND BILLING

Countist offers a 14-day free trial. To start your trial, you must provide a valid payment method.

After your trial ends:

- Your subscription will automatically begin at $4.99/month or $49/year (if you selected annual billing)

- You can cancel during the trial to avoid charges

- You may cancel your subscription at any time through your account settings

- Cancellation takes effect at the end of your current billing period

- No refunds are provided for partial billing periods

4. YOUR DATA

You retain ownership of all subscription data you enter into Countist. By using our service, you grant us a limited license to process your data solely to provide the service.

When you delete your account:

- All your subscription data is permanently deleted

- Your Stripe subscription is cancelled

- Your data is removed from our systems as described in our Privacy Policy

5. ACCEPTABLE USE

You agree not to:

- Use Countist for any unlawful purpose

- Attempt to gain unauthorized access to our systems

- Interfere with or disrupt the service

- Scrape, harvest, or collect data from Countist

- Resell or redistribute the service without authorization

- Upload malicious code or content

6. SERVICE AVAILABILITY

We strive to maintain high availability but do not guarantee uninterrupted service. We may:

- Perform scheduled maintenance (with advance notice when possible)

- Experience occasional downtime due to circumstances beyond our control

- Modify or discontinue features with reasonable notice

7. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

- Countist is provided "as is" without warranties of any kind

- We are not liable for any indirect, incidental, special, consequential, or punitive damages

- Our total liability is limited to the amount you paid us in the 12 months preceding the claim

- We are not responsible for decisions you make based on information displayed in Countist

8. INDEMNIFICATION

You agree to indemnify and hold harmless FYLUM Agency LLC, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of Countist or violation of these Terms.

9. DISPUTE RESOLUTION

Any disputes arising from these Terms or your use of Countist will be:

- First attempted to be resolved through good-faith negotiation

- Subject to binding arbitration under the rules of the American Arbitration Association

- Governed by the laws of the State of New York, without regard to conflict of law principles

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

10. INTELLECTUAL PROPERTY

Countist, including all software, designs, text, graphics, and other content, is owned by FYLUM Agency LLC and protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

11. TERMINATION

We may suspend or terminate your account if you:

- Violate these Terms

- Engage in fraudulent or illegal activity

- Fail to pay subscription fees

Upon termination, your right to use Countist ceases immediately.

12. CHANGES TO TERMS

We may update these Terms from time to time. For material changes:

- We will notify you by email at least 30 days in advance

- Continued use after changes take effect constitutes acceptance

13. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FYLUM Agency LLC d/b/a Structurl regarding Countist.
