These Terms of Service ("Terms") govern your use of Countist, a product of Fylum Agency.

By creating an account or using Countist, you agree to these Terms. If you don't agree, please don't use the service.

1. Eligibility

You must be at least 18 years old to use Countist. By creating an account, you confirm that you meet this age requirement.

2. Your Account

Account Creation: You can sign up using Google One Tap, passkeys, or a magic link sent to your email. You are responsible for maintaining the security of your account credentials.

Account Responsibility: You are responsible for all activity that occurs under your account. If you believe your account has been compromised, contact us immediately at hello@fylum.agency.

3. Free Trial and Subscription

New users receive 14 days of full access to all Countist features. A credit card is required when you sign up for the trial.

If you do not cancel or delete your account before the 14-day trial ends, you will automatically be charged $4.99/month (or $49/year if you selected annual billing) and your paid subscription will begin.

To avoid being charged, you must delete your account before your trial period expires.

Paid Subscription: After your trial, Countist costs $4.99 per month or $49 per year. Payment is processed through Stripe at the beginning of each billing period.

What You Get:

  • Track unlimited subscriptions

  • Smart AI warnings for duplicates and overlaps

  • Calendar view of all charges

  • Custom categories and icons

  • Data export capability

  • Full access to all features

Auto-Renewal: Your subscription automatically renews at the end of each billing period unless you cancel. We will charge your payment method on file.

4. Cancellation and Refunds

Cancellation: You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period, and you retain access until that date.

No Refunds: We do not offer refunds for partial months or unused time. The 14-day free trial allows you to fully evaluate Countist before committing to a paid subscription.

Access After Cancellation: If you cancel or your subscription expires, you can still view your subscription list in read-only mode, but you cannot add, edit, or delete subscriptions until you resubscribe.

5. What Countist Does (and Doesn't Do)

What We Do:

  • Provide a tool to manually track subscription costs and billing dates

  • Offer AI-powered insights about duplicate services and overlaps

  • Display your subscription spending on a visual calendar

What We Don't Do:

  • Connect to your bank account or monitor your transactions

  • Automatically detect subscriptions from your financial accounts

  • Cancel subscriptions on your behalf

  • Provide financial, investment, or tax advice

  • Guarantee specific savings or financial outcomes

Countist is a tracking and information tool. You are responsible for making decisions about which subscriptions to keep or cancel.

6. Acceptable Use

You agree not to:

  • Use Countist for any illegal purpose

  • Attempt to reverse engineer, hack, or exploit the service

  • Share your account with others

  • Upload malicious code or attempt to compromise our systems

  • Violate any applicable laws or regulations

7. Data Ownership and Privacy

Your Data: You own all the subscription information you enter into Countist. We never claim ownership of your data.

Our Use of Data: We use your data only as described in our Privacy Policy. We do not sell your information to third parties or use it for advertising.

Data Export: You can export your complete subscription data as a CSV file at any time.

8. Modifications to Service

We may modify, suspend, or discontinue any part of Countist at any time with reasonable notice. We will notify you by email if we make significant changes that affect your use of the service.

We may also update these Terms from time to time. If we make material changes, we will notify you at least 30 days before the changes take effect. Your continued use of Countist after changes become effective means you accept the updated Terms.

9. Limitation of Liability

Service Availability: We strive to keep Countist available and reliable, but we cannot guarantee uninterrupted access. The service is provided "as is" without warranties of any kind.

Liability Cap: To the maximum extent permitted by law, our total liability to you for any claims arising from your use of Countist is limited to the amount you paid us in the 12 months preceding the claim (or $50 if you haven't paid anything).

No Indirect Damages: We are not liable for any indirect, incidental, or consequential damages, including lost profits, lost data, or business interruption.

10. Intellectual Property

Countist, including all software, designs, text, graphics, and other content, is owned by Fylum Agency and protected by copyright and other intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable license to use Countist for your personal subscription tracking. You may not copy, modify, distribute, or create derivative works based on Countist.

11. Termination

We May Terminate: We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or misuse the service.

You May Terminate: You can delete your account at any time from your account settings. Account deletion is permanent and cannot be undone.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of Countist will be resolved in the state or federal courts located in New York, and you consent to the jurisdiction of those courts.

13. General Terms

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Fylum Agency regarding Countist.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

No Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment: You may not transfer or assign your rights under these Terms. We may assign our rights to any affiliate or successor.
